Contracts are necessary in collaborations

A contract between a researcher and an external partner describes the purpose of the collaboration. It ensures the rights of both parties and protects the researcher. It limits liability and helps sorting out future conflicts.

Legal Services can help you with the following types of agreements:

Overview of the most common types of agreements

There are different types of collaboration agreements. Common to them are that the contracts specify a framework for the finances, the right to publish and who has the right to use the results.

Two common types of contracts made for SDU collaborations are research collaboration agreements and commissioned research agreements.

Research collaboration agreement

What characterizes this type of collaboration:

  • Each party contributes with resources
  • The parties design the project jointly
  • Research interest in the project
  • Each party keeps own foreground knowledge
  • Free publication
  • Co-financing possible

Commissioned research agreement

What characterizes this type of collaboration:

  • External pays for the delivery of a certain performance
  • The project is designed by external
  • Assignment of foreground knowledge
  • Limited publication
  • Market terms - overhead
  • Co-financing not possible

An MTA includes an agreement on the transfer of a physical material to be used in the research such as biological material, cell lines, chemical substances or the like.

The purpose of the agreement is to clarify the conditions for the use of the material, as well as to create clarity regarding the rights and obligations of the parties.

Cooperation often involves exchanging confidential information.

An NDA ensures that confidential information can be freely exchanged between the two parties with the assurance that the information will remain confidential.
